1. Introduction
1.1 These Terms and Conditions (“Terms”) govern your use of DROPIFFY website/app and
provision of ecommerce service (Dropshipping) services as operated by us, a company
registered in India.
1.2 By accessing or using our services, you (“Retailer,” “you”, “Store owner”, “Website owner”)
agree to be legally bound by these Terms and all applicable Indian laws, including but not limited
to the Consumer Protection Act 2019, Information Technology Act 2000, Goods and Services Tax
(GST) Act, and any rules or regulations issued thereunder.
1.3 If you do not agree to these Terms, do not use or access our services.
2. Definitions
· “Supplier” or “we” refers to DROPIFFY, the ecommerce service provider based in Pune
India.
· “Retailer” refers to the business or individual authorized to resell the Supplier’s products.
· “Products” means goods made available by us for dropshipping or for reselling.
· “End Customer” means the final purchaser of products from Retailer.
· “Services” means the fulfillment and shipping of Products directly to the End Customer
on behalf of Retailer.
3. Eligibility and Account Registration
3.1 Retailer must be a registered business entity under Indian law with valid GST registration or a
legally compliant entity authorized to resell goods.
3.2 Retailer shall register an account providing accurate, complete, and current information
including GSTIN, PAN (Permanent Account Number), business address, and contact details.
3.3 Retailer is responsible for securing account credentials and activities conducted under the
account.
4. Services and Product Information
4.1 We provide wholesale products with dropshipping services, shipping Products directly to End
Customers within India or other agreed territories.
4.2 Product descriptions, images, availability, and prices are indicative and subject to change
without prior notice. We endeavor to keep information accurate but make no warranties. Same
product image and information should be displayed in your website or wherever you sell. Any
fraud committed by retailer (you) will be result in suspending of account.
4.3 Any intellectual property rights related to product images, trademarks, and content remain
with us or the respective rights holders, with limited use rights granted to Retailers for resale
purposes only.
5. Orders and Acceptance
5.1 Retailer submits orders via our platform with complete End Customer shipping information.
5.2 Orders are accepted subject to stock availability, payment confirmation, and validation of
customer data.
5.3 We reserve the right to reject or cancel any order for reasons including but not limited to
stock unavailability, suspected fraud, incorrect pricing, or violation of legal/regulatory
requirements.
5.4 Retailer acknowledges that the processing and shipment timelines are estimates and may be
affected by external factors such as carrier delays and force majeure events.
6. Pricing and Payment Terms
6.1 Wholesale pricing is displayed on the platform and is exclusive of GST and other applicable
taxes unless otherwise stated.
6.2 Retailer shall pay in advance for all orders via accepted payment modes (e.g., UPI, Net
Banking, Credit/Debit Cards) with valid GST-compliant invoicing provided by us.
6.3 Prices and payment terms are subject to change upon notification.
6.4 Non-payment or delayed payment may lead to suspension or termination of services and
additional charges.
7. Taxes, Duties, and Compliance
7.1 Retailer is responsible for ensuring compliance with Indian GST laws, including applying GST
when selling to End Customers and filing all applicable returns.
7.2 Import or export duties, customs fees, and taxes apply when shipments cross international
borders and are borne by Retailer or End Customer as applicable.
7.3 Retailer must ensure compliance with all applicable local, state, and central laws including
consumer protection, product safety, and advertising standards.
8. Shipping and Delivery
8.1 We ship Products using India Post, courier services, or other logistics providers as
determined by us.
8.2 Shipping fees and delivery timelines are displayed at checkout and may vary by destination
and service level.
8.3 Risk and title of goods pass to Retailer upon handover to the carrier, except where prohibited
by law.
8.4 We are not liable for delays, losses, or damages caused during shipping by third-party
carriers. Claims must be initiated by Retailer within stipulated time frames.
9. Returns, Cancellation, and Refunds
9.1 Retailer may cancel orders before dispatch without penalty; no cancellations accepted after
shipment.
9.2 Returns are accepted only for defective, damaged, or mis-shipped items and require a
Return Merchandise Authorization (RMA) prior to shipping returns.
9.3 Return requests must be made within [2] days of delivery, supported by evidence such as
photos or unboxing video or reports. UNBOXING VIDEO OF PRODUCT IS COMPLUSORY TO
APPLICABLE FOR RETURNS
9.4 Return shipping costs for supplier errors will be borne by us; otherwise, costs are Retailer’s
responsibility.
9.5 Refunds or replacements will be processed after receipt and inspection of returned goods,
within a reasonable timeframe.
9.6 Returns for change of mind, or reasons not related to Product defects or errors, are not
accepted.
10. Intellectual Property and Brand Use
10.1 Retailer is granted a limited, non-transferable license to use Supplier branding, product
images, and marketing materials solely for resale purposes while an authorized Retailer.
10.2 Retailer must follow all brand guidelines and may not alter product representations, use
Supplier trademarks in domain names or advertising without written consent.
10.3 Unauthorized use or infringement may lead to termination.
11. Confidentiality and Data Protection
11.1 Pricing, business processes, and customer data shared by us are confidential and must not
be disclosed to third parties except as required for business operations.
11.2 We comply with the Information Technology Act 2000 and related privacy laws in handling
your data and End Customer information necessary for fulfillment.
11.3 Retailer agrees to obtain necessary consents to share End Customer data with us and notify
customers of applicable privacy policies.
12. Limitation of Liability and Indemnity
12.1 To the maximum extent permitted by law, our liability is limited to the invoice value of the
specific order under dispute.
12.2 We disclaim liability for indirect, incidental, consequential damages including loss of profits
or business interruption.
12.3 Retailer agrees to indemnify and hold harmless the Supplier from claims, losses, or
damages arising from Retailer’s breach of Terms, unlawful acts, or neglect.
13. Force Majeure
13.1 We shall not be liable for failure or delay in performance caused by unforeseeable events
beyond our control including natural disasters, strikes, war, government actions, and interruptions
in shipping or telecommunications.
14. Suspension and Termination
14.1 We may suspend or terminate Retailer accounts for breach of Terms, fraudulent activities,
non-payment, or violation of applicable laws, with or without notice.
14.2 Termination will not relieve Retailer from obligations accrued prior to termination.
15. Governing Law and Dispute Resolution
15.1 These Terms shall be governed by the laws of the Republic of India.
15.2 Parties shall attempt to amicably resolve disputes within 30 days before initiating legal
proceedings.
15.3 Any disputes shall be subject to exclusive jurisdiction of courts located in Pune,
Maharashtra , India. Arbitration or mediation may be used as alternative dispute resolution
mechanisms.
16. Amendments
· We reserve the right to update or modify these Terms at any time by posting updated
versions on our website/app, with notification to Retailer via email. Continued use of
services after changes constitutes acceptance.
